1. Introduction
This Affiliate Partner Agreement and Policy ("Agreement") governs participation in the Encrisoft Affiliate Partner Programme ("Programme"), operated by Encrisoft Technologies LTD ("Encrisoft", "Company", "we", "us", or "our").
The Programme allows approved individuals, businesses, consultants, technology professionals, and commercial partners ("Affiliates" or "Partners") to introduce eligible customers to Encrisoft and earn commissions on qualifying subscription revenue.
By applying, joining, accepting this Agreement electronically, or participating in the Programme after acceptance, an Affiliate agrees to comply with its terms.
Participation is subject to Encrisoft's review and approval. Submission of an application does not guarantee acceptance.
2. Affiliate Eligibility and Registration
2.1 Existing Encrisoft Account Holders
Individuals and organisations with an existing Encrisoft account may apply to join the Affiliate Programme using their existing account credentials.
Holding a customer account does not automatically confer Affiliate status. Applicants must complete the relevant application process, accept this Agreement, and receive approval from Encrisoft.
An approved Affiliate may continue using Encrisoft as a customer while participating in the Programme. However, self-referrals and purchases made for their own benefit are not commissionable.
2.2 New Affiliate Applicants
Individuals and organisations that do not currently use Encrisoft may also apply.
Interested applicants should contact affiliate@encrisoft.com, stating their name, organisation (if applicable), country, relevant business experience, and intended approach to introducing customers.
Encrisoft may request additional information before approving an application.
An Encrisoft product subscription is not required solely to become an Affiliate.
2.3 Approval and Account Requirements
Encrisoft reserves the right to approve or reject applications based on legitimate commercial, compliance, security, reputational, or operational considerations.
Affiliates must provide accurate registration information, maintain the security of their accounts, comply with applicable laws, and notify Encrisoft of material changes to their circumstances.
Each Affiliate must be at least 18 years old, or be an organisation legally capable of entering into a binding agreement.
3. Affiliate Commission Structure
Encrisoft offers the following standard commission tiers:

3.1 Tier Eligibility
All approved Affiliates begin at the Registered tier unless otherwise agreed in writing.
An "active paying referred customer" is a distinct, validly attributed customer organisation with an active paid subscription and no applicable fraud, refund, or disqualification restriction.
Free accounts, trial accounts, cancelled subscriptions, unpaid subscriptions, and an Affiliate's own accounts do not count towards tier qualification.
3.2 Tier Progression
Affiliates become eligible for a higher tier upon meeting the applicable qualification threshold.
Higher commission rates apply prospectively to qualifying referrals first attributed after the tier change becomes effective. Previously attributed referrals retain their recorded commission rates.
Encrisoft may periodically reassess tier eligibility based on the number of active paying referred customers.
Any downgrade applies prospectively and will not retroactively reduce commissions earned or alter the recorded terms governing existing referrals.
3.3 Strategic Partnerships
Strategic Partner status is granted only through a separate written agreement.
Strategic terms may include customised commission rates, distribution arrangements, revenue-sharing models, or other commercial provisions.
No Affiliate is entitled to Strategic Partner terms without explicit written approval.
4. Referral Attribution and Ownership
4.1 First Valid Referrer Principle
Encrisoft operates a first valid referrer attribution model.
Where multiple Affiliates refer the same prospective customer, the first Affiliate whose eligible referral is successfully recorded and verified by Encrisoft will ordinarily receive attribution.
A later referral link, advertisement, or introduction does not automatically replace an earlier valid referral.
A referral must be identifiable through Encrisoft's approved tracking system or an alternative referral record expressly accepted by Encrisoft.
4.2 Attribution Window
The standard referral attribution window is 30 calendar days.
A prospective customer must complete the qualifying attribution event within 30 days of the first valid recorded referral interaction.
The qualifying attribution event is the creation of an eligible Encrisoft customer account, a verified referral registration, or another qualifying event expressly recognised by Encrisoft's referral system.
Once a valid customer attribution has been established, the 30-day attribution window does not automatically cancel that attribution.
Subsequent eligible subscription payments may generate commissions during the applicable commission period.
4.3 Customers Already Using Encrisoft
Customers with an existing Encrisoft account or an existing paid subscription before the relevant referral are not automatically eligible as new referrals.
An Affiliate cannot claim ownership of an existing customer merely because the customer subsequently clicks an affiliate link, renews a subscription, changes a plan, or purchases additional seats.
Encrisoft may expressly approve a documented commercial introduction concerning an existing customer, provided that no earlier Affiliate has an established entitlement to that customer.
Any such exception must be confirmed in writing before commissions become payable.
4.4 Previously Referred Customers
A customer validly attributed to an Affiliate remains associated with that Affiliate for the applicable commission period, subject to the terms recorded when the referral was established.
A second Affiliate cannot take over an existing valid referral through a new link, repeat registration, or later marketing interaction.
Existing referral records, earned commissions, and agreed commission periods will not be retrospectively changed simply because Encrisoft revises its standard Programme configuration.
4.5 Attribution Disputes
Where attribution is disputed, Encrisoft will review available evidence, including referral timestamps, account records, tracking information, prior commercial communications, and relevant contractual commitments.
Affiliates may submit evidence supporting their claims.
Encrisoft will make a reasonable, good-faith determination based on the available records and applicable Agreement.
Fraudulent, manipulated, duplicated, or misleading referrals may be rejected or disqualified.
5. Commission Entitlement and Calculation
5.1 Qualifying Revenue
Commissions are calculated on the net subscription revenue actually received and retained by Encrisoft from an eligible referred customer.
Net subscription revenue excludes VAT and other applicable taxes, refunds, chargebacks, discounts, payment reversals, and amounts not successfully collected.
Unless separately agreed, commissions are not payable on implementation services, custom development, grants, third-party charges, or other non-subscription transactions.
5.2 Recurring Commission Duration
Standard Affiliates are eligible to receive recurring commissions for 12 months from the referred customer's first successful qualifying subscription payment.
Commissions arise only from eligible subscription payments successfully collected during that 12-month period.
If the customer cancels, stops paying, receives a full refund, or otherwise ceases generating qualifying revenue, no further commission accrues on those non-qualifying transactions.
The commission period does not automatically restart following a plan change, cancellation, account reactivation, or subscription renewal.
5.3 Subscription Changes
Eligible subscription upgrades or downgrades during the commission period may affect the commission amount, which will be calculated using qualifying net revenue actually received.
A change in subscription value does not extend the original commission period.
5.4 Refunds and Adjustments
Where a subscription payment is refunded, reversed, disputed, charged back, or determined to be fraudulent, the corresponding commission may be cancelled or reversed.
If the affected commission has already been paid, Encrisoft may recover that amount by applying a deduction against future commission earnings or requesting repayment, subject to applicable law.
Encrisoft will maintain appropriate transaction records explaining material adjustments.
6. Commission Validation and Holding Period
Commissions are initially recorded as pending following the relevant successful subscription payment.
A standard 30-day refund hold period applies to each qualifying commission transaction.
During this period, Encrisoft may verify payment settlement, referral eligibility, refunds, fraud indicators, and compliance requirements.
A pending commission is not yet available for withdrawal.
Following successful completion of the holding period and validation checks, the commission may become available in the Affiliate's eligible balance.
Encrisoft may withhold disputed or suspicious transactions while conducting a reasonable investigation and will communicate material delays where appropriate.
7. Affiliate Withdrawals and Payments
7.1 Minimum Withdrawal
The standard minimum withdrawal amount is £50 GBP.
An Affiliate may request a withdrawal only when the available, validated, unpaid commission balance meets or exceeds the configured minimum.
Pending, disputed, reversed, or otherwise ineligible commissions do not count towards this threshold.
Balances below the minimum remain recorded and may accumulate through subsequent eligible commission earnings.
7.2 Maximum Withdrawal
No standard maximum withdrawal amount is imposed under this version of the Programme.
Encrisoft may introduce reasonable withdrawal limits, transaction controls, or verification requirements through a published policy update, provided that previously earned commission entitlements are respected.
7.3 Payment Currency
The standard Affiliate Programme settlement currency is GBP.
Where qualifying revenue originates in another currency, Encrisoft may convert that revenue or the resulting commission into GBP using a documented, commercially reasonable exchange-rate methodology.
Currency conversion adjustments and applicable processing charges may affect the final amount received.
7.4 Payment Methods
Withdrawals are subject to the payment methods currently enabled and supported by Encrisoft.
PayPal may be offered as a withdrawal method where supported and activated. Bank transfers or alternative methods are available only if expressly enabled and communicated by Encrisoft.
The availability of a payment method must not be assumed solely because it is referenced in this Agreement.
Where no supported payout method is available to an Affiliate, validated commission balances will remain recorded pending the availability of an agreed compliant payment arrangement.
7.5 Withdrawal Charges
Encrisoft does not impose a standard Programme withdrawal fee where its published configuration specifies no fee.
Charges imposed independently by payment processors, receiving institutions, or currency conversion providers may still apply.
Any future Encrisoft withdrawal fee will be disclosed before it applies to a withdrawal request.
7.6 Payment Verification
Encrisoft may require identity verification, payment-account ownership checks, tax documentation, anti-fraud information, or other legally required checks before processing withdrawals.
An Affiliate is responsible for submitting correct payment details.
Encrisoft is not responsible for delays arising from incomplete verification, incorrect payment information, external payment-provider restrictions, or circumstances reasonably outside its control.
8. Affiliate Marketing and Conduct
Affiliates must promote Encrisoft truthfully, lawfully, and professionally.
Affiliates must not:
- Make false or misleading claims about Encrisoft, its pricing, cybersecurity capabilities, certifications, customers, or performance.
- Guarantee that Encrisoft will eliminate cybersecurity risks or prevent all cyberattacks.
- Engage in spam, unsolicited unlawful marketing, deceptive advertising, or unauthorised data collection.
- Misrepresent themselves as employees, authorised legal representatives, or agents of Encrisoft.
- Create fake accounts, artificial referrals, duplicate customers, or manipulated subscription transactions.
- Refer themselves or entities they control to earn commissions.
- Use Encrisoft's trademarks, brand identity, or intellectual property in ways that imply unauthorised endorsement.
- Offer unauthorised discounts, incentives, contractual commitments, or product guarantees.
- Misuse confidential customer, Affiliate, or Company information.
Affiliates must clearly disclose their commercial relationship with Encrisoft when making affiliate marketing communications, including where disclosure is required by the UK advertising rules.
Encrisoft may provide approved brand materials and marketing resources for Programme use.
Affiliates remain responsible for ensuring that their marketing practices comply with applicable advertising, consumer protection, privacy, and electronic communications laws.
9. Privacy and Data Protection
Affiliates must comply with applicable data protection legislation, including the UK GDPR, the Data Protection Act 2018, and applicable electronic marketing requirements.
Affiliates must not submit personal contact details or generate marketing communications to prospective customers without an appropriate lawful basis and compliance with applicable electronic marketing rules.
Customer and referral information may be processed by Encrisoft for attribution, Programme administration, fraud prevention, financial reconciliation, compliance, and payment processing, as described in the applicable privacy notice.
Each party is responsible for its own data protection obligations. Where a separate data processing or data-sharing agreement is legally required, the parties must execute it before undertaking the relevant processing.
10. Intellectual Property and Brand Usage
Encrisoft retains all ownership rights in its software, technology, trademarks, logos, marketing materials, documentation, and other intellectual property.
Approved Affiliates receive a limited, non-exclusive, non-transferable, revocable licence to use authorised Programme materials solely for legitimate promotional activities during their participation.
Affiliates may not register domains, social media identities, advertisements, or business names that misleadingly impersonate Encrisoft.
Upon termination, an Affiliate must cease representing itself as an active Encrisoft Affiliate and discontinue unauthorised use of Encrisoft branding.
11. Independent Contractor Relationship
Affiliates participate as independent commercial participants.
Nothing in this Agreement creates an employment relationship, partnership, joint venture, franchise, agency, or fiduciary relationship between an Affiliate and Encrisoft.
Affiliates have no authority to bind Encrisoft to contracts, negotiate commitments on its behalf, or make representations outside their expressly granted permissions.
Affiliates are responsible for their own business expenses, tax obligations, statutory registrations, and other obligations arising from their participation.
12. Indemnification
12.1 Affiliate Indemnification
To the extent permitted by applicable law, the Affiliate agrees to indemnify and hold harmless Encrisoft Technologies LTD, its directors, officers, employees, and authorised representatives against reasonable, documented losses, liabilities, damages, costs, and expenses, including reasonable legal costs, arising from third-party claims caused by:
- The Affiliate's fraud, wilful misconduct, or unlawful activities.
- Material breaches of this Agreement.
- Misleading, false, defamatory, or unauthorised marketing statements made by the Affiliate.
- Unlawful handling, collection, disclosure, or processing of personal information by the Affiliate.
- Infringement of third-party intellectual property rights through materials created or supplied by the Affiliate.
- Unauthorised contractual promises, warranties, commitments, or representations made on Encrisoft's behalf.
This indemnity applies only to the extent that the relevant loss was caused by the Affiliate's conduct or breach.
12.2 Claims Procedure
Encrisoft will provide reasonably prompt notice of an indemnifiable claim, cooperate reasonably in its defence, and take reasonable steps to mitigate losses.
The Affiliate will not be responsible to the extent that a claim arises from Encrisoft's own negligence, unlawful conduct, contractual breach, or other acts for which Encrisoft is legally responsible.
Neither party may enter into a settlement that imposes non-monetary obligations or admissions of fault on the other without that party's prior written consent, not to be unreasonably withheld.
13. Limitation of Liability
Neither party excludes or restricts liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or restricted.
Subject to the foregoing, neither party will ordinarily be liable to the other for indirect or consequential losses, including anticipated profits or commercial opportunities that were not reasonably foreseeable.
Subject to applicable law, Encrisoft's aggregate contractual liability arising from the Programme will not exceed the total commissions paid or payable to the relevant Affiliate during the 12 months preceding the event giving rise to the claim.
This limitation does not extinguish valid, accrued, unpaid commissions or apply where doing so would be unlawful.
The limitations in this section are subject to applicable statutory requirements of reasonableness.
14. Programme Changes and Existing Referral Protection
Encrisoft may amend its Affiliate Programme, including eligibility requirements, commission tiers, payout arrangements, marketing requirements, and operational policies.
Material changes will be published on the Programme website and communicated to affected Affiliates through reasonable available channels.
Changes to standard commission rates, commission duration, tier rules, or attribution arrangements will operate prospectively unless an Affiliate expressly agrees otherwise.
Existing validly attributed referrals will retain their recorded commission rates, commission periods, and previously accrued entitlements.
No change to Programme configuration will retrospectively extinguish a legitimately earned commission merely because the Programme's commercial structure has changed.
Existing referral rights remain subject to the original conditions concerning customer payment, refunds, fraud, compliance, and the applicable commission period.
Where a material policy change requires renewed acceptance, Encrisoft may restrict new referrals until the Affiliate accepts the updated terms. Such restrictions do not remove already accrued and valid commission entitlements.
15. Suspension and Termination
Encrisoft may suspend or terminate an Affiliate's participation for material breach of this Agreement, fraud, unlawful marketing, abuse of the referral system, security concerns, or other legitimate reasons.
Where reasonably practicable, Encrisoft will provide notice and an opportunity to resolve a remediable breach.
An Affiliate may request to leave the Programme by contacting affiliate@encrisoft.com.
Following ordinary termination, valid commissions accrued before termination will remain payable once they satisfy the applicable validation and withdrawal requirements.
Unless termination results from fraud or material breach affecting the relevant referrals, qualifying referrals already attributed before termination may continue earning commissions for their remaining original eligibility periods.
No new referrals will be accepted from a terminated Affiliate.
Encrisoft may withhold or recover commissions directly affected by proven fraud, invalid referrals, or a material breach, subject to applicable law.
16. Confidentiality
Each party must protect confidential information disclosed in connection with the Programme and use it only for authorised purposes.
Confidential information may include non-public pricing, commercial negotiations, customer information, technical documentation, business strategy, security information, and non-public Programme performance data.
Confidentiality obligations do not apply to information lawfully available to the public, independently developed, lawfully obtained without restriction, or required to be disclosed by law.
17. No Guarantee of Earnings
Encrisoft does not guarantee any level of Affiliate earnings, referral conversion, customer retention, or business opportunity.
Commission earnings depend on eligible referrals, successful customer payments, applicable tier rates, and compliance with the Programme requirements.
Affiliates are responsible for evaluating their own participation costs and commercial risks.
18. Governing Law and Dispute Resolution
This Agreement is governed by the laws of England and Wales.
The parties will first attempt to resolve disputes through good-faith discussions.
An Affiliate may submit a written dispute to affiliate@encrisoft.com, including relevant transaction or referral information and supporting evidence.
If the dispute cannot be resolved amicably, the courts of England and Wales will have jurisdiction, subject to any mandatory legal protections that apply.
19. General Provisions
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will continue in effect to the extent legally permissible.
Failure by Encrisoft to enforce any provision immediately does not constitute a waiver of its rights.
An Affiliate may not transfer Programme membership, referral rights, or contractual entitlements to another party without Encrisoft's prior written consent, except where legally required.
This Agreement, together with any expressly incorporated policies or separately executed Affiliate-specific commercial agreement, constitutes the agreement governing participation in the Programme.
Where a separately signed Strategic Partner agreement conflicts with this standard Agreement, the specifically negotiated terms will prevail to the extent of that conflict.

21. Acceptance
By selecting "I Agree", signing an Affiliate agreement, or otherwise expressly accepting these terms through an approved Encrisoft registration process, the Affiliate confirms that:
- They have read and understood this Agreement.
- They accept the Affiliate Programme's commercial and legal conditions.
- They understand that commission eligibility depends on valid referrals and successful qualifying payments.
- They agree to comply with applicable laws and Encrisoft's Programme requirements.
- They acknowledge that Programme participation is subject to Encrisoft's approval.
